IMPORTANT NOTICE: This is a legally binding contract. Your click-acceptance and payment constitute electronic acceptance under Swiss law (Art. 1 OR). Please read the full Terms and the Privacy Policy at www.noire7concierge.com/privacy before proceeding.
This Agreement is made between Matthias Thäler, operating under the brand name Noire7 ("Service Provider"), and the Member whose details are provided during registration. Noire7 intends to incorporate as a Swiss GmbH or AG, at which point this Agreement may be assigned by written notice to the Member.
2.1 Agreement forms upon tick of all checkboxes and cleared payment. 2.2 Constitutes electronic acceptance under Swiss law (Art. 1 OR). 2.3 A timestamped acceptance log is recorded including date, time, IP address, email, and Terms version. 2.4 A confirmation email will be sent upon cleared payment. 2.5 Member warrants they are 18+ with full legal capacity.
3.1 Services include: private aviation, yacht and supercar access; sold-out and invitation-only events; off-market asset introductions; dedicated personal assistant; full trip planning; calendar coordination; monthly intelligence briefings; direct relationships across 40+ cities.
3.2 Service Limitations. Noire7 acts as facilitator only. The Membership Fee covers access to Noire7's service. All third-party costs are quoted separately and require the Member's written approval. Noire7 is not a licensed travel agent, financial advisor, or regulated broker.
3.3 Off-Market Introductions & Commission. Noire7 acts solely as an introducing party. Any commission is disclosed in writing before commitment.
3.4 Compliance, KYC & AML. Noire7 may request identification or source-of-funds documentation at any time. Noire7 may terminate if there are reasonable grounds to suspect illegal activities.
4.1 Annual fee: CHF 7,500. Payment due in full at acceptance. 4.4 AUTOMATIC RENEWAL: Renews annually unless cancelled 30 days before anniversary. Renewal reminder sent at least 45 days in advance. 4.5 Fee adjustments require 90 days' notice. 4.6 Failed renewal: 14-day grace period before suspension.
5.1 Fee is non-refundable after acceptance and cleared payment. 5.2 Swiss Members: no statutory right of withdrawal. 5.3 EU Consumer Members: 14-day withdrawal right from Start Date. 5.5 If Noire7 fails to respond for 30+ consecutive days after written reminder, Member may request a pro-rated refund.
6.1 Member agrees to: provide accurate information; use services for lawful purposes; treat staff with respect; keep credentials confidential. 6.2 Membership is personal and non-transferable.
7.1 Term: 12 months from Start Date, auto-renewing for successive 12-month periods. 7.3 Cancellation: written notice to members@noire7concierge.com. No pro-rated refunds for mid-term cancellation.
8.1 Both Parties maintain strict confidentiality. Noire7 keeps Member identity, financial details, and requests strictly confidential. This obligation survives termination for five (5) years.
9.1 Data processed under revDSG / GDPR. Noire7 does not sell personal data. Full Privacy Policy at www.noire7concierge.com/privacy.
All Noire7 content, branding, and service methods are the exclusive intellectual property of Matthias Thäler / Noire7. No licence is granted to the Member.
Subject to mandatory Swiss law (Art. 100 OR), total liability shall not exceed the annual Membership Fee paid in the preceding 12 months. Noire7 is not liable for indirect loss or third-party provider acts.
Governed by Swiss law (OR / CO). Exclusive jurisdiction: Canton of Bern courts. 30-day good-faith negotiation before formal proceedings.
Entire agreement. Amendments with 30 days' notice. Severability. No waiver. Email notices. English version prevails. No partnership or employment relationship created.
By completing all checkboxes and payment, the Member confirms they are 18+ years old with full legal capacity; their click-acceptance constitutes contract formation under Swiss law (Art. 1 OR); the timestamped acceptance log serves as the primary evidentiary record. No wet-ink or qualified electronic signature is required for this Agreement to be valid and binding.
